1. Agreement to these terms
These Terms and Conditions govern access to this website and the use of its informational and project-inquiry features. By accessing the website, you agree to use it lawfully and consistently with these terms. If you do not agree, do not use the website.
These website terms are not a production agreement. A request, calculator result, form confirmation, price display or conversation does not by itself create a client relationship, reserve production time or require either party to proceed.
2. About the services
Ulmeryn Spectacle provides digital entertainment and interactive media services, including short-form entertainment video, social media content packages, entertainment video production, interactive digital content, online show production, virtual entertainment events, branded entertainment content, interactive storytelling projects and recurring monthly entertainment content.
Specific deliverables vary by project. Crew, equipment, locations, performers, music, stock assets, animation, visual effects, revisions, raw files, source files, travel, platform uploads and ongoing management are included only when the written project scope says they are included.
3. Website estimates and displayed prices
All prices displayed on the website are starting prices in United States dollars. The project rider adds published starting prices for the selected services and provides a minimum orientation only. It does not account for every creative, technical, licensing, travel, talent, location, insurance, rush, tax or delivery requirement.
A final price is established only through a written proposal, order confirmation, statement of work or production agreement. A displayed price may be updated prospectively, and a quotation may have an expiration date.
4. Inquiry form and reference codes
The supplied project-rider inquiry form operates locally in the visitor's browser. After all required fields and at least one service pass validation, the interface shows a confirmation and locally generated reference code, then clears the fields. The supplied code does not transmit or store the form content and is not proof that Ulmeryn Spectacle received the request.
A person who needs a response should contact the business using the displayed contact information through their own communications service. Any future connection of a form endpoint or third-party processor should be disclosed in the website's privacy documentation before use.
5. Project formation
A project begins only when authorized representatives have agreed in writing on the required commercial terms. Those terms may include scope, price, payment schedule, production dates, milestones, revision limits, client responsibilities, usage rights, cancellation terms and final delivery.
If a project document conflicts with these website terms, the signed project document controls for that project. Oral discussions and preliminary creative ideas remain subject to written confirmation.
6. Client responsibilities
A client is responsible for providing accurate information, timely feedback, authorized materials, a reliable decision-maker and access reasonably required for the agreed production. The client must disclose material restrictions affecting locations, brands, performers, products, regulated claims, platform policies or distribution.
The client represents that it has the rights and permissions needed for materials it supplies, including logos, footage, music, scripts, trademarks, testimonials, data and likenesses. The client should not direct Ulmeryn Spectacle to create or publish unlawful, deceptive, infringing, defamatory or harmful material.
7. Scheduling and changes
Production dates are subject to written confirmation, personnel and location availability, timely client approvals and circumstances beyond reasonable control. A client-requested change may affect price, schedule and deliverables. Material additions or direction changes may require a change order.
Delay caused by missing information, late feedback, unavailable access or unapproved materials may move the schedule. Ulmeryn Spectacle will communicate a revised plan when reasonably practical.
8. Revisions and acceptance
Revision rounds are included only as specified in the project scope. A revision means a reasonable adjustment within the approved concept; it does not automatically include a new concept, new filming, new performers, new locations, additional deliverables or correction of inaccurate client instructions.
Deliverables should be reviewed promptly. Any objective technical issue or failure to match the written scope should be described with reasonable detail. Approval, publication or prolonged use may constitute acceptance to the extent stated in the project agreement.
9. Intellectual property and licenses
Ownership and licensing are determined by the project agreement. Until all amounts due for the relevant work are paid, no transfer or final license should be assumed. Pre-existing tools, templates, methods, know-how and third-party materials remain subject to their existing ownership and license terms.
Music, typefaces, stock media, performer rights and other licensed elements may be limited by territory, term, platform, audience size or type of use. The client must comply with those restrictions. Raw footage, editable project files and unused concepts are not included unless the written scope expressly includes them.
10. Portfolio and publicity
Any right to identify a client, display finished work, publish behind-the-scenes material or discuss a project should be set out in the production agreement. Confidential material is not made public merely because it was supplied for evaluation or production.
11. Acceptable website use
You may not misuse the website, attempt unauthorized access, interfere with security, scrape the website at disruptive scale, introduce malicious code, impersonate another person, submit unlawful content or use the website to infringe intellectual property or privacy rights. Automated testing that degrades normal access is prohibited.
12. Website content and availability
The website is provided for general business information. We aim to keep service descriptions and contact details accurate, but the website may contain errors or become temporarily unavailable. Images illustrate production contexts and do not promise a specific location, performer, crew configuration or result for a future project.
We may update or remove website content and functionality without guaranteeing continuous availability. Nothing on the website is legal, tax or financial advice.
13. Disclaimers
To the maximum extent permitted by applicable law, the website is provided on an “as available” basis without warranties that it will be uninterrupted, error-free or suitable for every purpose. Creative and commercial results depend on many factors outside the studio's control, including audience response, platform distribution and client implementation. No particular number of views, sales, followers, conversions or event attendees is guaranteed unless a signed agreement expressly states a measurable commitment.
14. Limitation of liability
To the maximum extent permitted by law, Ulmeryn Spectacle will not be liable for indirect, incidental, special, exemplary or consequential loss arising solely from use of the public website, including lost profits, lost opportunity or loss of data. Project-specific liability is governed by the applicable written agreement. Nothing in these terms excludes liability that cannot lawfully be excluded.
15. Indemnity for misuse
To the extent permitted by law, a person who unlawfully misuses the website or knowingly supplies infringing material is responsible for resulting claims, losses and reasonable costs caused by that conduct. This section does not impose responsibility for matters caused by Ulmeryn Spectacle's own unlawful conduct.
16. Governing law and disputes
Unless a signed project agreement states otherwise or mandatory consumer law requires a different result, these website terms are governed by the laws applicable in Arkansas, United States, without regard to conflict-of-law principles. Before filing a formal claim, the parties should make a good-faith effort to describe the issue and seek a practical resolution.
17. General provisions
If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. Headings are for organization only. These terms may be updated, and the date above identifies the published version.
